Welcome to CueBytes. These Terms of Service ("Terms") govern your access to and use of our website at cuebytes.com and all services provided by CueBytes ("we," "us," or "our"). By accessing or using our website and services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using CueBytes services, you confirm that you are at least 18 years of age, have the legal authority to enter into these Terms, and agree to comply with all applicable laws and regulations. These Terms apply to all visitors, users, and clients of our services.

2. Services

CueBytes provides software development services including but not limited to:

  • Flutter mobile app development (iOS & Android)
  • React and Next.js web application development
  • Node.js backend and API development
  • MVP (Minimum Viable Product) development
  • AI integration and automation
  • Technical consulting and advisory services
  • Pre-built software modules and templates

We reserve the right to modify, suspend, or discontinue any service at any time without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of services.

3. Client Agreements and Project Terms

All software development projects are governed by a separate project agreement or statement of work signed between CueBytes and the client. In the event of a conflict between these Terms and a signed project agreement, the project agreement shall take precedence.

Project agreements typically include:

  • Scope of work and deliverables
  • Project timeline and milestones
  • Payment schedule and amounts
  • Intellectual property ownership
  • Confidentiality obligations
  • Acceptance criteria

4. Payment Terms

Payment terms are specified in individual project agreements. General payment terms include:

  • A deposit (typically 50%) is required before work begins
  • Remaining balance is due upon project completion or as per milestones
  • Payments are non-refundable once work has commenced, except as provided in our refund policy
  • Late payments may result in project delays or suspension of work
  • All prices are quoted in USD unless otherwise specified

5. Intellectual Property

Upon receipt of full payment for a project:

  • All custom code, designs, and deliverables created specifically for your project become your property
  • You receive full ownership of all project-specific intellectual property
  • We transfer all relevant source code, assets, and documentation

CueBytes retains ownership of:

  • Pre-existing code, frameworks, libraries, and tools used in the project
  • Generic modules and components not created exclusively for your project
  • Our internal methodologies, processes, and know-how

We may use your project as a portfolio reference unless you request otherwise in writing before project commencement.

6. Confidentiality

We treat all client information as confidential. We will not disclose your proprietary information, business plans, or technical specifications to third parties without your consent, except as required by law. Upon request, we are happy to sign a Non-Disclosure Agreement (NDA) before any project discussions.

7. User Responsibilities

When using our website and services, you agree to:

  • Provide accurate and complete information when contacting us or engaging our services
  • Use our services only for lawful purposes
  • Not attempt to interfere with or disrupt our website or services
  • Not use our services to create, transmit, or store illegal, harmful, or offensive content
  • Promptly provide feedback, approvals, and content required for project completion
  • Respect our team members and communicate professionally

8. Warranties and Disclaimers

We provide a 30-day bug-fix warranty after project delivery. During this period, we will fix any defects or bugs that arise from our implementation at no additional cost.

EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CUEBYTES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.

Our total liability for any claim arising from or related to our services shall not exceed the total amount paid by you for the specific service giving rise to the claim in the three (3) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless CueBytes and its employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.

11. Third-Party Links and Services

Our website may contain links to third-party websites or integrate third-party services. We are not responsible for the content, privacy practices, or terms of any third-party websites or services. Your use of third-party services is at your own risk.

12. Termination

Either party may terminate a project engagement by providing written notice as specified in the project agreement. Upon termination:

  • You are responsible for payment for all work completed up to the termination date
  • We will deliver all completed work and any work in progress
  • Confidentiality obligations survive termination

We reserve the right to terminate access to our website for any user who violates these Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes may be submitted to binding arbitration.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after changes constitutes acceptance of the revised Terms.
